Please read these Terms and Conditions (“Terms”) carefully before using The Vision Co. platform or placing an order. By accessing our website, creating an account, using our AI agent, or purchasing a Momentum Map board, you agree to be bound by these Terms. If you do not agree, you may not use our services.
1. About The Vision Co.
The Vision Co. is a software and physical product company that provides users with access to an AI agent for the purpose of designing a custom Momentum Map, a 24” x 30” printed goal-tracking board, as well as ongoing tracking, coaching, monitoring, community interactions, performance metrics, and product recommendations. Upon completion of the initial design session, the board is manufactured by a third-party partner and shipped directly to the customer.
2. Eligibility & Account Registration
To use our platform and place an order, you must:
Be at least 18 years of age, or between 13 and 17 years of age with verifiable parental or guardian consent
Provide accurate, complete, and current account information
Maintain the security of your account credentials and not share them with others
Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent or abusive behavior. You are responsible for all activity that occurs under your account.
3. Use of the AI Agent & Platform
Permitted Use
Our AI agent is provided to help you design your Momentum Map. You agree to use it only for its intended purpose and in compliance with all applicable laws and regulations.
Prohibited Conduct
You agree not to:
Use the platform for any unlawful, harmful, or fraudulent purpose
Submit content that is defamatory, obscene, harassing, or infringes the rights of any third party
Attempt to reverse-engineer, scrape, copy, or exploit any part of our platform or AI agent
Interfere with or disrupt the security, performance, or integrity of our services
Upload malicious code, viruses, or any harmful software
Impersonate any person or entity or misrepresent your affiliation with any person or entity
AI Agent Limitations
Our AI agent is designed to assist with design decisions but operates on the information you provide. The accuracy and quality of your Momentum Map depend substantially on the input you give during your session. The Vision Co. does not guarantee that the AI agent will be error-free at all times. In the event of a documented AI agent error, replacements are handled according to our Returns & Replacement Policy.
The AI agent does not provide professional advice of any kind, including but not limited to medical, psychological, financial, or legal advice. Any goals, affirmations, or content generated are for personal motivation purposes only.
4. Orders, Payments & Custom Products
Order Finality
All orders are final upon submission. Because each Momentum Map is custom-designed and sent immediately to production, we do not offer cancellations, modifications, or refunds once an order has been placed. Please review your design carefully before completing checkout.
Pricing
All prices are listed in U.S. dollars unless otherwise stated. We reserve the right to change our pricing at any time. Price changes will not affect orders that have already been confirmed.
Payment Processing
Payments are processed by a third-party payment processor. By submitting your payment information, you represent that you are authorized to use the payment method provided. The Vision Co. does not store your payment card details. We are not responsible for errors, outages, or security incidents caused by our payment processor.
Taxes
You are responsible for any applicable sales taxes, VAT, customs duties, or import fees associated with your purchase. For international orders, all import-related costs are the buyer’s sole responsibility.
5. Intellectual Property
Our Content
All content on our platform, including but not limited to text, graphics, logos, software, the AI agent, and the Momentum Map design framework, is the property of The Vision Co. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
Your Content
By submitting content to our platform, including your name, logo, quotes, and design choices, you grant The Vision Co. a non-exclusive, royalty-free, worldwide license to use, store, and process that content solely for the purpose of providing our services to you. We will not use your personal content for marketing or promotional purposes without your explicit consent.
Feedback
If you provide feedback, suggestions, or ideas about our platform or products, you grant us the right to use that feedback freely and without compensation or attribution.
6. Shipping, Delivery & Third-Party Manufacturing
Your Momentum Map board is manufactured by a third-party partner and shipped directly to you. By placing an order, you acknowledge and agree to the following:
Shipping timelines are estimates and may exceed 10 business days.
The Vision Co. is not responsible for delays caused by our manufacturing partner, customs, or carriers.
Risk of loss and title for your board passes to you upon handoff to the carrier.
The Vision Co. is not liable for loss, damage, or delay caused by third-party carriers or manufacturers, except as specified in our Returns & Replacement Policy.
You are responsible for providing an accurate shipping address. Reshipping costs due to address errors are your responsibility.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VISION CO. PROVIDES ITS PLATFORM, AI AGENT, AND PRODUCTS “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that: (a) the platform will be available at all times or free from errors or bugs; (b) the AI agent will produce perfectly accurate results in every instance; (c) the platform or servers are free of viruses or other harmful components; or (d) any defects will be corrected.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE VISION CO., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total amount you paid to The Vision Co. in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless The Vision Co. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of our platform or services; (b) your violation of these Terms; (c) content you submit to our platform; or (d) your violation of any third-party rights.
10. Third-Party Services
Our platform integrates with or relies on third-party services, including payment processors, cloud hosting providers, and our manufacturing partner. These third parties operate under their own terms of service and privacy policies. The Vision Co. is not responsible for the practices, availability, or content of any third-party services. Your use of third-party services is at your own risk.
11. Dispute Resolution & Governing Law
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Informal Resolution
Before initiating any formal dispute, you agree to contact us at contact@thevisionco.com and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days.
Binding Arbitration
If we cannot resolve a dispute informally, all disputes, claims, or controversies arising out of or relating to these Terms or our services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Austin, Texas. Each party will bear its own costs unless the arbitrator determines otherwise.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive the right to bring or participate in any class action, collective action, or representative proceeding against The Vision Co.
Exception
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
12. Termination
We reserve the right to suspend or terminate your access to our platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended account inactivity. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including but not limited to intellectual property rights, disclaimers, limitations of liability, and dispute resolution.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date and, where required, notify you by email or prominent notice on our platform. Your continued use of our services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
14. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and Returns & Replacement Policy, constitute the entire agreement between you and The Vision Co. with respect to your use of our services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and The Vision Co.
